Oct 14, 2026 | By Carmela Catilo

Japan-based Omron Corporation has agreed to acquire U.S. industrial computer manufacturer OnLogic and its parent company, Interlogic, in a $675 million cash deal. The acquisition aims to strengthen Omron’s physical AI capabilities, expand factory automation solutions, and accelerate digital transformation across manufacturing sites.

Omron signed the acquisition agreement on October 10, 2026, with the transaction expected to close around January 2027, subject to regulatory approvals and other closing conditions. The deal values Interlogic at $675 million on a debt-free, cash-free basis, equivalent to approximately JPY 104.6 billion.

Omron’s Acquisition Strategy and Deal Structure

Omron plans to acquire Interlogic through a reverse triangular merger involving a special-purpose company established in Delaware. Following the merger, Interlogic will become a wholly owned subsidiary of Omron, while OnLogic and the group’s other subsidiaries will operate as indirect subsidiaries.

The transaction will cover all outstanding shares of Interlogic, whose shareholders include founders Lisa and Roeland Groeneveld, along with 167 officer and employee shareholders.

How Omron Plans to Strengthen Its Physical AI Business

OnLogic develops and manufactures industrial computers designed to operate in demanding environments, including factory floors and industrial facilities. Its products support applications that require reliable computing close to production equipment.

The company follows a build-to-order manufacturing model, offering configurable systems through a direct-to-customer sales approach. According to Omron, more than 90% of OnLogic’s sales come from the Americas and Europe.

What the Acquisition Means for Omron

The acquisition will bring industrial computing capabilities into Omron’s existing portfolio of sensing, robotics, and control technologies. This combination could help the company develop more integrated solutions for manufacturers seeking to connect industrial equipment, factory data, and AI-powered systems.

The deal will also strengthen Omron’s access to customers in the Americas and Europe, while providing OnLogic with opportunities to leverage Omron’s global business network.
