
Oxyzo has approved the full acquisition of GoldenPi Technologies and its subsidiary GoldenPi Securities through a share-swap deal worth ₹42.4 crore (around $4.4 million).
Oxyzo, which is the lending division of OfBusiness, will issue company shares to Abhijit Roy, Samir Baran Pratihar, and investor Rainmatter Investments as part of the deal.
In a regulatory filing, Oxyzo said its board approved the issuance of 3.11 lakh equity shares as part of the acquisition deal. Each share has a face value of ₹10 and was issued at a premium price of ₹1,353. The total value of the deal is ₹42.41 crore.
Under the share distribution, Abhijit Roy received shares worth ₹15.7 crore, while Samir Baran Pratihar received shares worth ₹15.5 crore. Rainmatter Investments received shares worth ₹7.3 crore, and Utpal Hemendra Sheth got shares worth ₹4 crore.

The company said this acquisition will help it enter the retail wealthtech market and expand its fixed-income investment products for retail and high-net-worth investors.
“This will enable us to significantly enhance our fixed income offerings and capture a larger share of the fast-growing debt investment market. We believe the unified enterprise, with the right focus and investment, is perfectly positioned to create substantial value for all stakeholders,” Oxyzo’s business head of fixed income Anuj Sharma said.
Founded in 2017, GoldenPi Technologies is a fixed-income investment platform, while GoldenPi Securities is a SEBI-registered debt brokerage company. The company says it has built one of India’s largest online bond investment networks.
Since its launch, more than 16 lakh users have invested over ₹6,000 crore through the platform.
For Oxyzo, this is the second time this year it has expanded into a new business area. In March, the company launched its first credit fund through its alternative investment platform to support mid-sized companies looking for growth capital.
Oxyzo is a technology-based NBFC that provides customised financial solutions to small and medium businesses (SMEs). It helps companies buy raw materials and machinery, and also supports their supply chain and working capital needs.
