Oct 16, 2026 | By Carmela Catilo

Proofpoint has agreed to acquire Israeli-founded cybersecurity company Varonis Systems in an all-cash deal valued at approximately $6.3 billion. The acquisition aims to combine Proofpoint’s email and human security capabilities with Varonis’ technology for protecting sensitive corporate data as businesses increasingly adopt artificial intelligence (AI).
Under the agreement, Varonis shareholders will receive $49.75 per share in cash. The offer represents a 52% premium over the company’s closing share price on June 22, 2026, before reports of a potential sale emerged. The transaction values Varonis’ equity at approximately $5.71 billion.
Why Proofpoint Is Acquiring Varonis
The acquisition reflects the growing need to protect sensitive business information as AI systems gain access to corporate documents, applications and internal databases.
Proofpoint specialises in email security, protection against cyberattacks targeting employees, and preventing data loss. Varonis adds technology that helps organisations identify sensitive information, monitor access permissions and detect suspicious activity across corporate systems.
Varonis’ Data Security Technology
Varonis specialises in protecting unstructured data, including documents, spreadsheets and files stored across enterprise networks and cloud platforms.
Its technology helps businesses understand where sensitive information is stored, who can access it and whether unusual activity could indicate a security threat.
Varonis Business Growth
Varonis has also expanded through acquisitions, including Cyral, which specialises in database activity monitoring, and SlashNext, which focuses on phishing detection and AI-powered email security.
According to the reported figures in the source article, Varonis generated approximately $660 million in revenue over the four quarters ending in March 2026.
Proofpoint’s Expansion in Cybersecurity
Proofpoint is headquartered in Sunnyvale, California, and focuses on protecting organisations against email threats, cyberattacks targeting employees and corporate data loss.
