Clean Energy Technologies Secures $2 Mn

Clean Energy Technologies (CETY) has secured $2 million through a convertible promissory note from Singapore-based FuFront AI Pte. Ltd. The financing was completed on November 4, 2026, according to a Form 8-K filing submitted by the company.

The agreement provides Clean Energy Technologies with additional funding, while giving FuFront AI the option to convert the debt into the company's common shares under specified conditions.

Convertible Note Terms

The $2 million convertible note carries an annual interest rate of 12% and has a maturity date of October 3, 2027. FuFront AI will have the option to convert the note into common stock six months after its issuance.

The conversion price will be set at 85% of the lowest traded price of the company's shares during the previous 10 trading days.

Share Conversion Limits

The agreement includes certain restrictions on share conversion. FuFront AI's ownership cannot exceed 4.99% of Clean Energy Technologies' outstanding shares following conversion.

Additionally, the conversion is limited to 2,432,004 shares without shareholder approval, in accordance with Nasdaq Rule 5635(d).

Recent Financing Activities

The latest financing follows several other fundraising activities by Clean Energy Technologies. In October 2026, the company issued a $500,000 convertible note. It also completed a $150,000 cash financing transaction in September 2026.
